Course Learning Objectives

The objective of this course is to show participants the main legal challenges affecting the development of an entrepreneurial project step-by-step.

The course will cover the main legal matters to be taken into account when preparing and developing a new entrepreneurial project. Due to its specific nature, projects based on innovation and new technologies, in particular attention.


COURSE OBJECTIVES AND CONTENT

The objective of this course is to show the participants the main legal challenges that affect the development of an entrepreneurial project step by step.
The course will cover the main legal matters to be taken into account when preparing and developing a new entrepreneurial project. Due to its specific nature, projects based on innovation and new technologies will be of particular attention.
Topics that will be covered in detail will be the following:

- General concepts on regulatory issues (from data protection to crowdfunding, from Uber to Airbnb) Company formation and shareholder's agreements
- Company formation and shareholder's agreements
- Attracting funding: negotiating with investors
- Attracting talent: stock options and other incentive schemes
- Internationalization of start-ups (corporate and tax issues)

5. Internationalization of start-ups (corporate and tax issues)

Methodology

Sessions will cover a presentation of the relevant theoretical aspects in each section, in order to familiarize the participants with legal and business terminology and concepts. Real cases, role plays and group dynamics will also be included in the sessions.

Assessment criteria

Reading materials and class participation is the main factor in the overall evaluation; additionally, at the end of the course, each student may research a legal matter that piqued her/his curiosity the most, and from this research, s/he may submit a written report.
