Course Learning Objectives

The objective of this course is to give the students a general, complete and practical view of the most important aspects to take into account when carrying out a real estate transaction.

CONTENT

1. Introduction to the Spanish Real Estate system.

General considerations of Spanish Real Estate Law.

2. Preliminary acts and preparatory documents of a real estate transaction: heads of terms, letter of intent. Types of real estate transactions: Asset deal v. Share deal.

3. Legal due diligence.

4. Real estate due diligence. Security.

5. Sale and purchase agreement.

6. Commercial Lease Agreement.

7. Sale and Leaseback deal.

8. Structure of a real estate finance deal. Introduction. Heads of terms.

9. Loan Agreement (I).

10. Loan Agreement (II).

11. Subordination.

Methodology

Attendance at least 80% of the sessions is compulsory.
Students are expected to be prepared at the sessions having studied and read the materials given by the lecturers in advance.

Evaluation:
- Written exam: 60% of the final grade; and
- Paper work prepared before sessions, presentations and participation in class (40%).

Assessment criteria

Aquel alumno que no supere:
1. la asignatura en CONVOCATORIA ORDINARIA por no asistir a clase, no realizar las actividades propuestas o por copiarlas, no podrá superar la asignatura en CONVOCATORIA EXTRAORDINARIA, por tanto, deberá cursar de nuevo la misma realizando debidamente las actividades propuestas de manera específica por el profesor.
2. el nivel de competencias exigido, podrá pasar de curso siempre que tenga la asignatura aprobada, pero no podrá realizar el trabajo final de Grado, sin haber adquirido los niveles de competencias requeridos durante el Grado.
